By accessing or using ScopeGrid's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

ScopeGrid provides custom software development services for small and medium-sized businesses. Our services include modular development, sprint-based builds, and ongoing support as outlined in individual service agreements.

3. Service Agreements and Scope

Specific project details, deliverables, timelines, and pricing are defined in individual service agreements or statements of work. These documents supplement and are incorporated into these Terms of Service.

4. Client Responsibilities

Clients are responsible for:

  • Providing accurate and timely information for project requirements
  • Making decisions and providing feedback within agreed timeframes
  • Ensuring necessary access to systems and resources
  • Designating authorized representatives for project decisions
  • Providing payment according to agreed terms

5. Payment Terms

Payment terms are specified in individual service agreements. Generally:

  • Deposits may be required before work begins
  • Invoices are issued according to milestone completion or sprint cycles
  • Payment is expected within specified timeframes
  • Late payments may incur additional fees
  • Continued service may be contingent on current payment status

6. Intellectual Property Rights

Upon full payment, clients receive ownership of custom-developed code created specifically for their project. ScopeGrid retains rights to:

  • Pre-existing code, libraries, and frameworks
  • General methodologies and processes
  • Knowledge and expertise gained

Third-party components remain subject to their respective licenses.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of services.

8. Project Timeline and Changes

Project timelines are estimates and may be affected by factors including client responsiveness, scope changes, and technical challenges. Significant scope changes may require adjustment to timelines and fees.

9. Service Level and Support

Support levels are defined in individual service agreements. We aim to provide responsive service but cannot guarantee uninterrupted availability or specific response times unless explicitly stated in your agreement.

10. Warranties and Disclaimers

We warrant that services will be performed in a professional manner consistent with industry standards. However:

  • Software is provided "as is" after acceptance
  • We do not warrant that software will be error-free or uninterrupted
  • We are not responsible for issues arising from client modifications or third-party integrations

11. Limitation of Liability

To the maximum extent permitted by law, ScopeGrid's liability is limited to the fees paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

12. Termination

Either party may terminate services according to terms specified in the service agreement. Upon termination:

  • Client remains responsible for payment of work completed
  • ScopeGrid will deliver work completed to date
  • Rights to completed work transfer upon full payment

13. Dispute Resolution

Disputes will first be addressed through good faith negotiation. If resolution cannot be reached, disputes may be subject to mediation or arbitration as specified in service agreements.

14. Modifications to Terms

We reserve the right to modify these Terms of Service. Changes will be posted on this page with an updated revision date. Continued use of services constitutes acceptance of modified terms.

15. Governing Law

These terms are governed by applicable laws in our jurisdiction. Any legal proceedings will be conducted in appropriate courts as specified in service agreements.
